2008 Information for Candidates

Q.      Who is eligible to be a candidate?
A.      Any person can be a candidate for directorships. A candidate does not need to be a Grower, an A class shareholder or a resident of a voting region.

All candidates must satisfy the requirements set out in the Constitution.  A candidate for election as an A class director of AWB Limited or as a director of AWB (International) Limited must have 100 valid signatures from A class shareholders who support that candidate. The signatures must be submitted to the Company at least 60 clear days before the AGM.

Q.      I want to nominate for election as a director.  What do I have to do?
A.      You must nominate in accordance with the requirements of the Company’s constitution, in particular clause 19.4.  The Constitution may be found on the Company’s website, or alternatively you may contact the Company Secretary.

Q.      What information is available about the Company?
A.      You may obtain information about the Company from its website (www.awb.com.au)  You may also find information about the Company from its Annual Report.  If you wish to obtain a copy of the Annual Report, please contact the Company Secretary on (03) 9209 2000.

Q.      When do nominations close?
A.      The closing date for the receipt of nomination is 5.00pm (Melbourne time) on Thursday, 13 December 2007. 

Q.      What are the criteria for selection of candidates for Board recommendation?
A.      Candidates for each of the AWB Limited A class and B class Director roles and for AWB (International) Limited would be expected to exhibit the following attributes:

  • Possess good strategic thinking and problem solving skills;
  • Have strong commercial acumen;
  • Be a team player;
  • Demonstrate sound judgement and decisiveness;
  • Have integrity;
  • Possess a good understanding of best practice corporate governance;
  • Be independent and objective; and
  • Be prepared to commit to do the work involved as a Non-Executive Director.

Q.      When will I find out if the Board recommends me as a candidate?
A.      The Board has determined that it will not make a recommendation to A class shareholders in relation to the election of A class directors.  The Board will, however, make a recommendation to B class shareholders in relation to the election of B class directors.

Q.      Can I still stand for election as a director if the Board does not recommend me as a candidate?
A.      Yes.  You may stand for election without the recommendation of the Board.
