Proposed new constitution

This is a draft of the new constitution which the Board of AWB Limited proposes to submit to shareholders for adoption if the proposal to remove Article 2 is approved by shareholders at the meetings to be held on 21 August 2008. The draft is subject to approval by ASX Limited and final approval by the Board of AWB Limited.

The provisions in the draft proposed Constitution include:

• a 10% shareholding limit for three years
• at least two grower directors (ie. directly or indirectly engaged in agricultural production on a commercial scale)
• one of the company's objects is to continue to be involved in grain trading.
